Estatewake Terms and Conditions

Welcome to Estatewake, a Nigeria-based platform connecting real estate agents, landlords, and potential buyers or renters for property listings, bidding, and additional services like property registration, tokenization, search, development, management, and monitoring. These Terms and Conditions (“Terms”) govern your use of our platform and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

Key Terms

  • You: Any individual or entity using our platform, including Agents, Landlords, Potential Buyers, or Renters.
  • Agent/Landlord: A user listing a property for sale or rent.
  • Potential Buyer/Renter: A user browsing, bidding, or inquiring about properties.
  • Services: Our platform’s features, including property listings, bidding, payment processing, marketing, property registration, tokenization, search, development, management, and monitoring.
  • Credit Wallet: A non-monetary, non-transferable credit system for purchasing services on our platform.
  • Content: All data, images, text, or materials you submit, including property listings.

Terms and Conditions

1. Use of the Platform

Estatewake provides a platform for Agents and Landlords to list properties and for Potential Buyers/Renters to browse and bid. You must:

  • Provide accurate, complete, and truthful information for accounts and listings.
  • Be at least 18 years old or have legal authority to use our services.
  • Comply with all applicable Nigerian laws, including real estate, property ownership, and electronic transaction laws.
Misleading or false information may result in account suspension, listing removal, or legal action without refunds.

2. Listing Policies & Vetting

a. Property Vetting: All property listings are reviewed to ensure pricing aligns with market standards. If a listing’s price is deemed too high or low, it will be rejected for adjustment. You may revise a listing up to three (3) times. After the third rejection, the listing is permanently rejected, and credits (excluding processing fees) are refunded to your Credit Wallet.

b. Listing Duration: Standard listings remain active for 30 days, after which they are automatically removed. Listings with a premium marketing package remain active until the property is sold or rented to a verified buyer or renter, or until you request removal.

c. Listing Requirements: Listings must include accurate details (e.g., address, description, photos) and comply with Nigerian real estate laws, including proper documentation (e.g., Certificate of Occupancy). Fraudulent or misleading listings are strictly prohibited and may lead to account termination and legal action.

3. Credit Wallet & Subscriptions

a. Credit Wallet: Our platform uses a credit-based system. You purchase credits via Paystack (our current payment processor, subject to change) to add to your Credit Wallet. Credits are:

  • Non-refundable and non-transferable.
  • Without monetary value outside the Estatewake platform.
  • Used to pay for listings, subscriptions, or additional services.
If a listing is rejected, credits (excluding processing fees) are refunded to your Credit Wallet.

b. Subscriptions: You may purchase subscriptions using credits, with terms (e.g., duration, features) outlined at purchase. Subscriptions auto-renew unless canceled at least 24 hours before renewal via your account dashboard. Once a subscription begins, no refunds are issued, even if canceled mid-term.

4. Agent Verification

Agents or Landlords listing high-value properties or multiple properties may undergo verification to ensure platform integrity. This may include submitting:

  • Government-issued ID or business registration documents.
  • Proof of property ownership (e.g., Certificate of Occupancy).
  • Other documentation as requested.
Failure to comply may result in listing rejection or account suspension without refunds.

5. Payments & Fees

a. Listing Fees: Payable via credits from your Credit Wallet, non-refundable except as noted in Section 2 (Listing Policies).

b. Marketing Fees: Optional marketing services incur a 5% fee based on the property’s aggregated listed price, payable in credits upon listing. Marketing continues until completion of the service (e.g., when the property is sold or rented).

c. Additional Service Fees: Services like property registration, search, development, management, or monitoring incur separate fees, outlined at the time of engagement and payable via credits.

d. Payment Processing: Payments are processed securely via Paystack (subject to change). You are responsible for ensuring sufficient credits in your wallet. Failed payments may result in service suspension.

e. Refund Policy: No refunds are issued for credits purchased, subscriptions activated, or services rendered, except for listing rejections (where credits, excluding processing fees, are refunded to your Credit Wallet). Refunds are processed within 7 days.

6. Property Transactions & Due Diligence

a. Off-Platform Transactions: Estatewake facilitates connections between Agents/Landlords and Potential Buyers/Renters, but all property payments (for buying or renting) are conducted outside our platform. We are not responsible for collecting, processing, or managing these payments, nor for any disputes, losses, or damages arising from such transactions.

b. Due Diligence: Potential Buyers/Renters are responsible for conducting their own due diligence before entering into property transactions. This includes verifying property documentation (e.g., Certificate of Occupancy), ownership, and the credibility of Agents/Landlords. Estatewake is not liable for any fraud, misrepresentation, or losses caused by Agents, Landlords, or third parties.

c. Reporting Fraud: If you believe you have been defrauded by an Agent or Landlord, contact us at support@estatewake.com with the Agent’s details. We will suspend the Agent’s account and may pursue legal action against them on your behalf, including reporting to relevant Nigerian authorities. However, we are not responsible for recovering funds or resolving disputes outside our platform.

7. Additional Services

a. Property Registration & Tokenization: We assist with registering properties (e.g., Certificate of Occupancy) with relevant Nigerian state governments. Data submitted for registration is securely handled and shared only with the state government for processing, in compliance with the Nigeria Data Protection Act 2023. Upon confirmation, properties may be tokenized as digital assets on our platform, subject to additional terms provided at engagement.

b. Property Search: We offer a paid property search service to help users find properties. Fees and deliverables are outlined at the time of purchase, payable via credits.

c. Property Development, Management & Monitoring: We partner with independent engineers to provide property development, maintenance, and monitoring services. We supervise projects on your behalf, ensuring compliance with Nigerian building regulations. Fees and terms are provided at engagement, payable via credits.

8. Prohibited Conduct

You may not:

  • Create multiple accounts to bypass listing limits, verification, or other policies.
  • Engage in cyber-attacks, hacking, phishing, or attempts to disrupt our platform, as prohibited by the Cybercrimes Act 2015.
  • Submit fraudulent or misleading listings, including properties without proper documentation.
  • Use our brand assets (e.g., logo, name) without prior written consent.
  • Violate Nigerian real estate, property, or electronic transaction laws.
Violations may result in account suspension, listing removal, credit forfeiture, or legal action.

9. Fraud Prevention & Investigations

We actively monitor for fraudulent listings or activities. If fraud is detected:

  • The listing will be removed, and the Agent/Landlord’s account may be suspended or terminated.
  • We may report suspected fraud to relevant Nigerian authorities for criminal investigation.
  • No refunds will be issued for credits used in fraudulent activities.
You agree to cooperate with our investigations and provide requested documentation.

10. Account Security & Hacked Accounts

You are responsible for maintaining the security of your account, including passwords and login credentials. If you suspect your account has been hacked or compromised, contact us immediately at support@estatewake.com. We will:

  • Temporarily lock your account to prevent unauthorized access.
  • Commence an investigation within 7 days.
  • Reopen your account if the investigation confirms no malicious activity by you.
We are not liable for losses or damages resulting from unauthorized account access, but we will take reasonable steps to assist you in securing your account.

11. Intellectual Property

All platform content (e.g., design, text, graphics, software) is owned by Estatewake or its licensors. You may not reproduce, distribute, or create derivative works without our written permission. By submitting a listing, you grant Estatewake a non-exclusive, worldwide, royalty-free license to use, display, and market the listing’s content (e.g., photos, descriptions) for our services.

12. Termination & Suspension

We may suspend or terminate your account or access to our services if you:

  • Violate these Terms or applicable laws.
  • Engage in fraudulent or prohibited conduct.
  • Fail to comply with verification or payment requirements.
Upon termination, your listings will be removed, and unused credits may be forfeited. You may terminate your account via the dashboard, subject to settling outstanding fees.

13. Limitation of Liability

To the fullest extent permitted by Nigerian law, Estatewake is not liable for:

  • Indirect, incidental, or consequential damages (e.g., loss of profits, data, or opportunities).
  • Errors or inaccuracies in listings or services provided by third parties (e.g., engineers, Agents, or Landlords).
  • Platform downtime or interruptions beyond our control.
  • Losses from property transactions or fraud by Agents/Landlords, as these occur outside our platform.
Our total liability is limited to the amount paid by you for the specific service causing the claim.

14. Indemnification

You agree to indemnify and hold Estatewake, its affiliates, and employees harmless from claims, damages, or losses arising from:

  • Your violation of these Terms or applicable laws.
  • Inaccurate or fraudulent listings.
  • Your use of our services or third-party interactions.
  • Property transactions conducted outside our platform.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, including real estate, property ownership, and electronic transaction laws. You agree to comply with all applicable Nigerian regulations.

16. Dispute Resolution

Disputes arising from these Terms will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to mediation in Ondo State, Akure, Nigeria, before pursuing legal action in Nigerian courts. You waive any right to class action lawsuits.

17. Updates to These Terms

We may update these Terms to reflect changes in our services or laws. The “Last updated” date (August 11, 2025) shows the latest version. We’ll notify you of significant changes via email, our website, or your account dashboard. Continued use after updates means you accept the new Terms.
